These Terms govern your purchase and use of Become The Agency (the "Stack"), a digital download sold by Riverton Inc, a Texas corporation ("we", "us"). By purchasing or downloading the Stack, you ("you", the "Licensee") agree to be bound by these Terms.

1. What you're buying

The Stack is a downloadable bundle of source code, configuration files, scripts, prompts, skills, integrations, knowledge documents, training videos, and accompanying materials. You receive it once, by download or repository access, after payment is processed.

2. License granted

Upon successful payment, we grant you a perpetual, non-exclusive, non-transferable, worldwide license to use the Stack for the following purposes:

Operate your own business. Run the Stack on any number of brands, stores, or businesses you own, control, or operate.
Serve clients. Use the Stack to deliver services to clients of your advisory, consulting, fractional, or agency practice. Charge whatever you want for the resulting work.
Modify and extend. Fork, edit, recombine, integrate, and extend the Stack to fit your workflows.
Internal sharing. Share the Stack with employees, contractors, or partners working on your behalf, provided they accept these Terms.

3. What you cannot do

Resell the Stack as a product. You may not repackage, sublicense, redistribute, sell, lease, rent, or make the Stack available as a standalone product, template, course, or downloadable asset to third parties.
Train competing products. You may not use the Stack as training data for, or as a basis to build, a competing productized stack sold to operators, founders, or agencies.
Strip attribution. Internal license headers and credit notices in source files must remain intact.
Use unlawfully. Any use that violates applicable law, third-party rights, or platform terms (e.g. Meta, Google, Shopify, Klaviyo, Omnisend) is prohibited and at your own risk.

4. No refunds

The Stack ships as unencrypted source code. Once delivered, it cannot be revoked or returned. All sales are final. No refunds will be issued, regardless of whether you have used, deployed, or even opened the Stack.

If you have questions about fit, scope, or compatibility before purchase, contact us. Once purchased, you are deemed to have accepted the Stack as-is.

5. Third-party services

The Stack is designed to work with third-party services including but not limited to Anthropic Claude, Meta Marketing API, Google Ads API, Shopify Admin API, Klaviyo, Omnisend, ScrapeCreators, Arcads.ai, Higgsfield, and others (the "Third-Party Services"). You are responsible for:

Maintaining your own accounts and API keys with each Third-Party Service.
Paying any subscription, usage, or per-call fees charged by Third-Party Services.
Complying with each Third-Party Service's terms of use.

We are not affiliated with or endorsed by any Third-Party Service. Their availability, pricing, and APIs may change without notice.

6. Updates and support

For 12 months following your purchase, we will provide updates to the Stack at our discretion to maintain compatibility with major Third-Party Service changes and to incorporate improvements. Email support is included for the duration described in your selected pricing tier (typically 30 days).

We do not guarantee specific update frequency, feature additions, or the continued availability of any specific integration.

7. No warranty

The Stack is provided "as is", without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Stack will be error-free, that defects will be corrected, or that the Stack is compatible with any specific configuration.

8. Limitation of liability

To the maximum extent permitted by law, Riverton Inc, its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profit, revenue, data, or business opportunity, arising from your use of, inability to use, or reliance on the Stack.

Our total cumulative liability under these Terms shall not exceed the amount you paid for the Stack.

9. Compliance and data

You are solely responsible for ensuring your use of the Stack complies with applicable laws, including data protection regulations applicable to your business and your customers, advertising regulations, and platform terms. The Stack does not collect, transmit, or store your customer data on our infrastructure — all API calls flow directly between your accounts and the Third-Party Services.

10. Termination

We may terminate your license if you materially breach these Terms. Upon termination, you must cease using the Stack and destroy all copies in your possession. Sections 3, 4, 7, 8, and 11 survive termination.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflicts of law principles. Any dispute shall be resolved in the state or federal courts located in Harris County, Texas, and you consent to the exclusive jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Stack following an update constitutes acceptance of the revised Terms.
